2. About These Terms

By accessing or using this website, you confirm that you are at least 18 years old and agree to these Terms of Service. If you do not agree, please do not use the site. These terms govern your use of our marketing website and beta waitlist. They do not govern paid or active use of the VersaAgro software platform, which will be governed by a separate customer or beta agreement.

3. The Waitlist and Beta Selection

Joining the waitlist is a request to be considered for our beta program. It is not a contract, a purchase, or a guarantee of admission. We select participants at our sole discretion and may alter, pause, or close the program at any time without liability. If selected, any onboarding—including remote field boundary mapping, data integration, and platform access—will be governed by a separate, formally executed Beta Agreement. Any future offers, including founding-grower pricing, must be confirmed in writing.

4. Information and Agronomic Disclaimers

The site describes our technology, anticipated features, and ongoing research:

Development Status: Features labelled In Development, Coming Soon, or Planned are prospective and may change.
Sample Data: Any data marked as "Sample data" is illustrative and does not represent live customer fields.
Field & Trial Variances: Trial results and performance metrics cited on this site derive from university trials and published studies reflecting specific testing conditions. Actual field outcomes vary widely based on soil, crop variety, weather, regional biology, and local management practices. We do not guarantee any specific yield, revenue, input reduction, profit, data accuracy, carbon credit eligibility, pricing or issuance, marketplace proceeds, or any other income.
Mapping & Boundaries: Any mapping tools, satellite imagery, or geographic boundaries displayed on this site or in early previews are for illustrative agronomic management only. They do not constitute official property deeds, cadastral records, or professional land surveys.
Agronomic Decision Support & Role of the Grower: VersaAgro provides data-driven agronomic recommendations, predictive modeling, and decision-support insights powered by patented methodologies developed by a leading agricultural research university. These outputs are intended to assist—not substitute for—the independent operational judgment, ground-truthing, and localized expertise of the grower or certified crop advisors. Content on this site is for informational and decision-support purposes only and does not constitute formal licensed agronomic consulting, financial, tax, surveying, or legal advice. You remain solely responsible for all final field management, input applications, and cultivation decisions.

5. What You Give Us & Farm Data Ownership

Submission Accuracy: When you submit information via our waitlist (such as contact information, farm name, acreage, and crop varieties), you confirm that the details are accurate and that you have the authority to share operational information for the farm represented.
Farm Data Ownership: You retain full ownership of your proprietary farm information. By submitting your acreage, crops, or operational profile, you grant Versalytix a limited, non-exclusive license to use this data solely to evaluate your farm for the beta program, communicate with you, and plan onboarding logistics. We handle all personal data in accordance with our Privacy Policy. We do not sell identifiable farm data. Anonymised data is shared with buyers only if you separately opt in.
Prohibited Activities: You agree not to submit unlawful, misleading, or malicious content, and you will not attempt to probe, scrape, reverse-engineer, disrupt site security, or access non-public areas of our systems.
Feedback: If you provide suggestions, feature requests, or agronomic feedback regarding VersaAgro, you grant Versalytix an unrestricted, perpetual, irrevocable, royalty-free license to use, implement, and commercialize that feedback without compensation or attribution to you. Feedback does not include your farm data, which remains yours.

6. Intellectual Property

The site, text, graphics, logos, branding, and underlying algorithms and software belong to Versalytix, Inc. or its licensors and are protected under US and international intellectual property laws. Certain agronomic algorithms, models, and computational methods utilized by VersaAgro incorporate technology patented by or licensed from a major agricultural research university. You are granted a limited license to view the site and share links to its public pages. You may not copy, reproduce, scrape, or commercially exploit any content or branding without our prior written consent.

7. Third-Party Links and Services

The site may reference or link to third-party tools, services, and websites (such as hosting infrastructure, analytics, and form providers). We do not control and are not responsible for the content, privacy practices, or policies of third-party platforms.

8. Service Availability

We strive to keep the site accessible and up to date, but we do not guarantee uninterrupted, secure, or error-free operation. We reserve the right to modify, restrict, or take down portions of the site at any time without notice.

9. Disclaimers and Limitation of Liability

9.1 "As Is" Basis

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND WAITLIST ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

9.2 Consequential Damages Exclusion

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERSALYTIX, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF CROPS, YIELD, PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE, REGARDLESS OF THE LEGAL THEORY ASSERTED.

9.3 Maximum Aggregate Liability

OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE, WAITLIST, OR THESE TERMS SHALL NOT EXCEED FIFTY US DOLLARS ($50.00 USD).

9.4 Legal Carve-Outs

Some jurisdictions do not allow the exclusion of certain warranties or limitations on statutory consumer rights. Nothing in these terms excludes liability that cannot be excluded or limited under applicable law.

10. Modifications

We may update these terms periodically. The "Last Updated" date at the top indicates the latest revision. Your continued use of the website following an update constitutes your agreement to the revised terms.

11. Governing Law and Jurisdiction

These terms and any disputes arising out of or related to them shall be governed by the laws of the State of Georgia, USA, without regard to conflict of law principles. Any legal action or proceeding relating to these terms shall be instituted exclusively in the state or federal courts located in or serving Coweta County, Georgia, and you consent to the personal jurisdiction of such courts.
